Terms and Conditions.
These Terms and Conditions govern access to this website and general interactions with LATERILLA Corp. They also establish baseline terms for digital business solution services unless a signed proposal, statement of work, order, or other written agreement states different or additional terms. If a written project agreement conflicts with these Terms, the project agreement controls for that project.
1. Business services
LATERILLA Corp. provides services that may include workflow audits, automation setup, artificial intelligence business tool configuration, customer relationship management setup and optimization, software integrations, digital workspace setup, dashboards, document workflows, internal knowledge bases, process optimization, consulting, and ongoing support. The exact deliverables, assumptions, dependencies, schedule, and fee are determined by the accepted scope.
2. Eligibility and authority
You must be at least 18 years old and have authority to act for the business you identify. By approving a scope or supplying access, you represent that you are authorized to provide the instructions, information, content, accounts, and permissions necessary for the work. You are responsible for identifying internal approval requirements and regulated information before work begins.
3. Estimates, scope, and changes
Website prices are starting prices for the described service and are shown in U.S. dollars. A listed price does not guarantee that every request can be completed within that amount. Complexity, record volume, platform limitations, data condition, required migration, licensing, security needs, and additional revisions may affect the final quote. Work begins only after scope, access, fee, and any required payment are confirmed. Requests outside the agreed scope may require a written change, additional time, or additional fees.
4. Customer responsibilities
- Provide accurate requirements, timely feedback, lawful content, and appropriate access.
- Maintain backups of important records and systems before material changes or migrations.
- Use role-limited accounts and secure credential-sharing methods when available.
- Review configurations, sample outputs, field mappings, permissions, and automations before live use.
- Obtain necessary third-party subscriptions, licenses, consents, and internal approvals.
- Use delivered systems in accordance with applicable law and third-party platform terms.
5. AI-enabled tools
AI-enabled tools can produce incomplete, inaccurate, biased, or unexpected results. Configuration does not eliminate the need for human review. Customers remain responsible for reviewing outputs before using them for decisions, publications, customer communications, regulated activity, or any matter that could materially affect a person or business. Unless expressly agreed in writing, services do not include training a proprietary model, guaranteeing output accuracy, or providing legal, medical, financial, employment, or compliance determinations.
6. Third-party software
Integrations and configurations depend on third-party platforms, application programming interfaces, permissions, subscription levels, and vendor policies. Those services may change, restrict features, experience outages, or discontinue access. LATERILLA Corp. does not control third-party products and is not responsible for their independent availability, security, pricing, or terms. Additional work caused by a third-party change may require a new scope.
7. Fees, invoices, and taxes
Payment terms are stated in the applicable estimate, invoice, or project agreement. Fees may be structured as fixed project fees, hourly fees, milestones, or monthly support. Unless stated otherwise, third-party subscription fees and usage charges are paid directly by the customer. The customer is responsible for applicable sales, use, excise, or similar taxes, excluding taxes on LATERILLA Corp. income. Overdue work may be paused after reasonable notice.
8. Delivery, acceptance, and support
Target dates depend on timely access, decisions, and feedback. A delay caused by missing access, changed requirements, or a third party may move the schedule. Customers should inspect deliverables promptly and provide specific notice of a material scope deviation. We will make commercially reasonable efforts to correct a verified deviation from the agreed scope. Ongoing monitoring, maintenance, and revisions are included only when stated in the scope or an active support arrangement.
9. Intellectual property and access
Each party retains ownership of materials it owned before the engagement. Upon full payment, the customer receives the rights stated in the project agreement to custom configurations, documentation, and deliverables prepared specifically for that customer. General methods, know-how, reusable structures, non-customer-specific templates, and underlying tools remain with their respective owners. Third-party materials remain subject to their own licenses. Customer data and accounts remain customer-controlled.
10. Confidentiality
Non-public business information identified as confidential or reasonably understood to be confidential should be used only for the engagement and protected with reasonable care. Confidentiality does not cover information that was already lawfully known, becomes public without breach, is received lawfully from another source, or is independently developed. Disclosure may occur when legally required, with notice where permitted.
11. Acceptable use
You may not use the website or services to violate law, infringe rights, bypass platform restrictions, spread malicious code, gain unauthorized access, create deceptive impersonations, process unlawfully obtained data, or facilitate fraud or harmful activity. We may decline, suspend, or end work that presents a security, legal, ethical, or platform-compliance concern.
12. No guarantee of business outcome
Services are intended to improve organization, configuration, visibility, or execution within the agreed scope. Results depend on the customer's processes, personnel, data, decisions, vendors, and use. We do not guarantee revenue, savings, uninterrupted operation, regulatory compliance, or any specific commercial result.
13. Disclaimer and limitation
To the extent permitted by law, the website is provided on an “as available” basis, and services are provided with the level of care described in the applicable agreement. Implied warranties are disclaimed to the extent permitted. Neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits or data, arising from these Terms. To the extent permitted by law, LATERILLA Corp.'s aggregate liability for a claim relating to services will not exceed the fees paid for the specific service giving rise to the claim during the six months before the event. This section does not limit liability that cannot legally be limited.
14. Suspension and termination
Either party may end a service as provided in the applicable agreement or Cancellation and Complaints Policy. We may suspend access or work for overdue amounts, missing required access, material misuse, security concerns, or unlawful instructions. Accrued payment obligations, confidentiality, ownership, disclaimers, limitations, and dispute provisions survive termination as applicable.
15. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles. Before filing a claim, the parties should make a good-faith effort to resolve the issue through written notice describing the concern and requested resolution. Unless applicable law requires otherwise, courts located in Fayette County, Kentucky will have jurisdiction.
16. General terms
If part of these Terms is unenforceable, the remaining provisions continue. A delay in enforcement is not a waiver. Neither party may assign a project agreement without the other's consent, except in connection with a lawful merger, reorganization, or sale of substantially all relevant assets. Electronic records and approvals may be used where lawful. Headings are for convenience. These Terms and the applicable written project documents form the agreement regarding their subject matter.
